Drop Shipping Agreement – Terms and Conditions
This Drop Shipping Agreement (“Agreement”) sets forth the legally binding terms and conditions governing your participation in the Drop Shipping program offered by JM Wholesale Ltd (“JM Wholesale,” “we,” “us,” or “our”). By subscribing to and utilising our Drop Shipping services, you (“Reseller,” “you,” or “your”) confirm that you have read, understood, and agreed to be bound by the terms of this Agreement, including our Delivery Policy and Returns Policy, which are incorporated herein by reference.
Our Drop Shipping delivery policy and return policy are integral parts of these terms and conditions.
1. General Terms
1.1 Acceptance of Terms
By accessing our Drop Shipping platform or placing any orders, you affirm that you are legally authorised to enter into this Agreement and agree to comply fully with its terms. This Agreement constitutes a binding legal contract between you and JM Wholesale.
1.2 Termination Rights
Failure to comply with any provision of this Agreement may result in immediate termination of your account, access, and any associated services, at our sole discretion and without prior notice.
1.3 Pricing and VAT
All prices displayed on our Drop Shipping platform are net of VAT, which shall be calculated and added at checkout as required by applicable tax law.
1.4 Retail Pricing Guidance
While JM Wholesale does not mandate adherence to Manufacturer’s Suggested Retail Prices (MSRPs) or Recommended Retail Prices (RRPs), you remain solely responsible for setting your retail pricing in a manner consistent with relevant commercial and regulatory standards. You are strongly discouraged from under-pricing products significantly below prevailing RRPs, as this may negatively impact brand value and market consistency.
1.5 Third-Party Platform Compliance
If you choose to list JM Wholesale products on third-party marketplaces (e.g., eBay, Amazon), you must comply with all applicable platform rules and policies. JM Wholesale bears no responsibility for any suspensions, removals, or penalties arising from violations or enforcement actions by such marketplaces.
1.6 Force Majeure and Disclaimer of Liability
JM Wholesale shall not be liable under any circumstances for any direct, indirect, incidental, special, or consequential losses or damages suffered by the Reseller or their customers. This includes, but is not limited to, loss of revenue, profit, data, business opportunities, goodwill, or damage to reputation—whether arising from breach of contract, negligence, or any other legal theory.
We are not responsible for any delays, disruptions, or failures resulting from events beyond our reasonable control. This includes, without limitation: natural disasters, pandemics, acts of war or terrorism, cyberattacks, courier delays, customs issues, integration or system failures, supplier shortages, or government-imposed restrictions or regulations.
Additionally, JM Wholesale shall not be held liable for any bugs, technical faults, system delays, or integration errors arising from third-party platforms, including but not limited to Flxpoint. While we do not accept liability for such issues, we will work in good faith alongside Flxpoint to help identify and support resolution of technical disruptions that impact service continuity.
All services are provided strictly on an “as is” and “as available” basis. By using our services, you acknowledge and accept all commercial risks associated with operating your resale business.
2. Orders and Fulfilment
2.1 Eligibility
Only authorised and registered Drop Shipping resellers are permitted to place orders through the Drop Shipping platform. Unauthorised use of the platform is strictly prohibited.
2.2 Order Process and Payment
Orders are automatically received and processed. A unique payment link will be issued for each order. Full payment is required in advance of shipment. Orders will not be dispatched until payment is confirmed.
2.3 Wholesale Orders
Orders intended for bulk purchase or non-Drop Shipping purposes must be placed through our Wholesale Trade platform. Such orders placed via the Drop Shipping website are subject to cancellation at JM Wholesale’s sole discretion.
2.4 Stock Availability
JM Wholesale operates across multiple sales, warehouse, and integration platforms. While we make reasonable efforts to maintain up-to-date stock data, stock levels are dynamic and cannot be guaranteed at any time. We do not warrant the accuracy, timeliness, or completeness of inventory information displayed on our Drop Shipping platform or any connected system.
You acknowledge and accept that:
- Product availability is subject to change without notice, including after an order is placed.
- JM Wholesale shall not be held liable for any order delay, cancellation, missed opportunity, or customer complaint resulting from out-of-stock items.
- We strongly advise against advertising items as “in stock” or “ready to ship” without confirming availability.
- We are not responsible for loss of sales, lost customers, marketplace penalties, reputational harm, or negative reviews due to stock discrepancies.
- Backorders and substitutions are not supported unless explicitly agreed in writing.
You assume full responsibility for resolving any customer service issues, refunds, or disputes related to unfulfilled or out-of-stock items.
2.5 Shipping Restrictions
JM Wholesale does not ship to countries that are subject to trade sanctions, restrictions, or embargoes. If a destination country is not listed in our shipping options, we do not offer delivery to that location.
2.6 Age-Restricted Products
JM Wholesale does not offer age-verification services at the point of delivery. You are solely responsible for implementing robust age verification measures on your platform to ensure compliance with applicable laws for products subject to age restrictions.
2.7 Order Cancellation and Suspension
JM Wholesale reserves the right to cancel or suspend any order or shipment, with or without prior notice, at our sole discretion.
2.8 Order Delays
JM Wholesale processes orders using automated systems and aims to dispatch orders promptly after payment. However, no guarantees are made regarding processing or dispatch times, and we will not be liable for delays due to high volumes, system errors, staff availability, or third-party disruptions.
You are responsible for setting accurate customer expectations regarding processing time. All complaints, chargebacks, or claims due to order timing must be handled and resolved by you.
2.9 Shipment Delays
Delivery timeframes are estimates only and not guaranteed. We are not liable for courier delays, customs holds, address issues, or force majeure events that delay delivery. You must not advertise guaranteed delivery dates unless independently verified. Any consequences, including loss of reputation or customer complaints, are solely your responsibility.
2.10 Customer Complaints and Liability
You are exclusively responsible for handling all customer service inquiries, complaints, disputes, chargebacks, refunds, or negative feedback to your customers.
Under no circumstances should JM Wholesale be named in consumer disputes, social media complaints, or legal correspondence with end customers. You agree to fully indemnify and hold us harmless from any claims, financial demands, or reputational consequences originating from your customer base.
3. Integration and Support
3.1 Technical Integration
JM Wholesale partners with Flxpoint for product feed integration and related technical services. For any technical issues or integration concerns, you must contact Flxpoint support directly via the helpdesk provided in your dashboard.
3.2 Business Support

3.3 Account Identity and Email Policy
Your registered email address must be consistent across JM Wholesale, your payment subscription, and Flxpoint. Accounts associated with unauthorised or alternate email addresses may be terminated without notice. If you need to update your registered email, contact us in advance to ensure continuity of service.
3.4 Stock Sync Limitations
While we employ advanced tools to maintain real-time inventory accuracy, discrepancies may still occur due to simultaneous orders across platforms. JM Wholesale is not liable for stock-related issues arising from these limitations, although we will work with you to find a reasonable resolution.
3.5 Third-Party Liability Disclaimer
As Flxpoint operates independently, JM Wholesale accepts no liability for losses, errors, or integration failures caused by their system or services.
3.6 System Errors, Bugs, and Delays
JM Wholesale shall not be held liable for any errors, delays, bugs, outages, or disruptions arising from the Flxpoint platform or related systems. However, we will make reasonable efforts to collaborate with Flxpoint to investigate and support the resolution of such issues in a timely manner. You acknowledge that temporary disruptions may occur and agree to take reasonable steps to manage any resulting impact on your business operations.
4. Website and Product Content
4.1 Website Content
You are solely responsible for all content published on your sales platform. JM Wholesale is not liable for the accuracy, legality, or compliance of your website content.
4.2 Product Descriptions
Product information delivered through Flxpoint integration serves as a generic placeholder only. You are expected to review and customise all product descriptions to meet your brand's requirements and comply with applicable consumer regulations.
4.3 Website Design Services
JM Wholesale offers website design and management as an optional, standalone service, fulfilled by an external development partner. This service operates independently from our Drop Shipping service and is subject to separate terms. Website packages are non-refundable, and JM Wholesale accepts no liability for website performance, content compliance, business losses, or integration outcomes. Any issues regarding delivery, revisions, or disputes should be directed to the relevant development provider as per your project agreement. Resellers bear full responsibility for ongoing content management, legal compliance, and operational continuity after project handover.
5. Cancellations and Account Termination
5.1 Reseller-Initiated Cancellations
You may cancel your Drop Shipping subscription at any time by submitting a written request to dropshipping@jm-wholesale.co.uk. Cancellations submitted via phone or other means will not be accepted.
5.2 Refund Policy
Subscription fees paid prior to the date of your official cancellation request are non-refundable, regardless of usage or termination timing.
5.3 Effect of Cancellation
Upon cancellation:
- Access to the Drop Shipping platform will be immediately revoked.
- Integrated product listings on your website will be automatically deleted via Inventory Source.
- No further orders will be processed or shipped.
5.4 JM Wholesale-Initiated Terminations
JM Wholesale reserves the right to suspend or terminate any Drop Shipping account at its sole discretion, with or without prior notice, for reasons including but not limited to policy breaches, misuse, or business conflicts.
6. Amendments
JM Wholesale reserves the right to amend or update these Terms and Conditions at any time. Any such changes will become effective immediately upon publication on our website. Continued use of the Drop Shipping platform constitutes your acceptance of any modifications.
By using our Drop Shipping services, you expressly acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions.
